Litigation

Our legal professionals work on  national,  international  and  multi-jurisdictional  litigation.  The cases handled by our legal professionals cover contractual and corporate law,  private international  law,  intellectual property law,  insurance law, professional medical malpractice, banking and bankruptcy procedures, and liability and damages,  including any related criminal dealings.  Those legal professionals working with AF who are specialized in litigation have gained experience and developed their legal practice  across  multidisciplinary sectors, through constant dealings with criminal lawyers, foreign lawyers, legal experts and consultants.   Several of the defense lawyers have even led and coordinated the defense strategies for multinational companies in Italian based complex commercial litigations.

Mergers and acquisitions, restructurings

Our legal professionals assist our clients in one-off transactions, including acquisitions (domestic and international), as well as in company joint ventures, mergers and divisions. The legal counsel extends to all aspects of the transaction, also in conjunction with the relevant financial issues, however tax planning and management of post-closing negotiations are dealt with directly by AF Group. Our clients receive assistance in coordinating activities between AF Group and the lawyers throughout the entire process: from the initial negotiation phase, to carrying out due diligence activities, to the drafting of contract documents, such as shareholder agreements and ancillary agreements or statutes of various kinds, and through all the operations at each stage of pre-closing, closing and post-closing.

Intellectual Property

Our legal services include, among others, advice and assistance in the acquisition, transfer and retention of intellectual property rights, licensing and reorganization of corporate group intellectual property rights, and the coercive protection and enforcement of those rights, largely through the establishment of legal proceedings and  national and international arbitration, as well as through its dealings with the Italian Patent and Trademark Office (IPTO).

Our legal professionals provide ongoing assistance, both in relation to matters of general corporate law, and to extraordinary transactions, whether this be during the course of everyday business dealings, or regarding the clients’ Italian or foreign business launches.
